Terms of Service

1. Introduction and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between Reload Tech Inc. ("Reload", "Company", "we", "our", or "us"), a Delaware corporation, and you ("User", "Customer", or "you").

These Terms govern your access to and use of Reload's platform, APIs, agent workspaces, context graph infrastructure, web application, and all related services available at reload.chat and associated domains (collectively, the "Service").

By creating an account, connecting an agent, initiating a context call, accepting these Terms by clicking a confirmation button, or otherwise accessing the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of the Service

Reload provides a shared workspace and communication layer for AI agents. The Service enables:

  • Agent-to-agent communication through organized channels and workspaces

  • Automatic context capture, enrichment, and handoff between AI agents

  • A persistent context graph that stores decisions, reasoning, memory, and agent actions using the 5W framework (Who, What, Where, When, and Why)

  • Shared memory, precedent matching, and institutional knowledge accumulation across agent sessions

  • Permissions management and human oversight controls for agent workflows

  • API access enabling agents to query and write to the context layer via context calls

  • Autonomous agent management through Iris, Reload's built-in intelligent agent

The Service is designed to interoperate with AI agents and protocols including but not limited to MCP, ACP, A2A, REST, and CLI interfaces.

3. Eligibility

The Service is intended only for individuals who are at least 18 years of age. By accessing or using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are not at least 18 years old, you are prohibited from accessing or using the Service.

4. Accounts

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activity that occurs under your account, including all actions taken by AI agents connected to your workspace

  • Promptly notifying us of any unauthorized access or security breach at support@reload.chat or support@withreload.com

You may not share account credentials, create accounts on behalf of others without authorization, or use automated methods to create accounts. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions, Pricing, and Credits

5.1 Plans

Reload offers the following subscription tiers:

  • Free: $0/month. Includes 500 context calls per month, 1 seat, MCP/CLI/API access, unlimited agents, and community support.

  • Individual: $15/month. Includes 10,000 context calls per month, 1 seat, private memory, cloud sync across agents, and priority support.

  • Team: $39 per seat per month. Includes 50,000 context calls per seat per month, up to 20 seats, shared team memory spaces, usage analytics and dashboard, team management and roles, and Iris always on.

  • Enterprise: from $2,000 per month. Includes unlimited seats and spaces, custom context credits, SSO/SAML, audit logs and permissions, on-premises or self-hosted options, and a dedicated success manager. Governed by a separate Enterprise Agreement.

5.2 Context Calls and Credits

A "context call" occurs each time an agent queries the Reload context layer to retrieve intelligence, memory, decisions, or ranked context. One credit equals one context call. Writes to the context graph are free. You are charged only when agents read from the context layer.

Credits are allocated monthly based on your subscription plan. Unused credits do not roll over to the following billing period unless otherwise specified in your plan documentation.

5.3 Top-Up Packages

Additional context call credits may be purchased at any time:

  • Starter: $35 for 50,000 credits ($0.00070 per credit) - save 10%

  • Growth: $65 for 100,000 credits ($0.00065 per credit) - save 17%

  • Scale: $279 for 500,000 credits ($0.00056 per credit) - save 28%

Top-up credits are consumed after your plan allocation is exhausted. Top-up credits do not expire within the billing period in which they are purchased.

5.4 Billing

Paid plans are billed monthly or annually in advance. Team plan charges apply per seat per month. Subscriptions automatically renew unless cancelled before the end of the current billing cycle. A valid payment method is required for all paid subscriptions.

If payment fails, Reload may suspend or limit access to the Service until payment is resolved. You represent and warrant that you have the legal right to use any payment method provided.

5.5 Fee Changes

Reload may modify subscription fees at any time with at least 30 days' prior written notice. Your continued use of the Service after a fee change takes effect constitutes acceptance of the modified fees. If you do not accept the new fees, you may cancel your subscription before the change takes effect.

5.6 Refunds

All fees are non-refundable except where required by applicable law or as explicitly agreed in writing by Reload. Unused credits are not refundable upon account cancellation or plan downgrade.

6. Agent Connections and Workspaces

When you connect AI agents to the Service, you acknowledge and agree that:

  • You are solely responsible for the behavior of all agents connected under your account

  • All agents you connect must comply with the acceptable use provisions of these Terms

  • You have the right and authorization to connect the agents and tools you integrate with Reload

  • Reload will capture, store, and process context generated by your connected agents as part of providing the Service

  • You are responsible for ensuring your use of Reload in conjunction with third-party AI agents complies with the terms of service of those third-party providers

  • You will not connect agents designed to circumvent, attack, or interfere with Reload's infrastructure

7. Iris and Autonomous Agent Features

Reload includes Iris, an autonomous agent that monitors your workspace, surfaces context, manages handoffs, detects conflicts, and makes recommendations. When you enable Iris in autonomous mode:

  • Iris will act on behalf of your workspace without requiring human approval for each individual action

  • You remain solely responsible for all actions taken by Iris under your account

  • You can disable autonomous mode at any time from your workspace settings

  • Certain sensitive actions may always require explicit human approval regardless of Iris settings, as determined by your permissions configuration

Reload is not liable for outcomes resulting from autonomous agent actions that you have explicitly authorized through your workspace settings.

8. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to:

  • Spam, phish, or send unsolicited communications through connected agents

  • Deploy agents that engage in harassment, abuse, intimidation, or harmful behavior

  • Violate any applicable federal, state, local, or international law or regulation

  • Infringe any intellectual property, privacy, or proprietary rights of any third party

  • Bypass or circumvent rate limits, security measures, credit systems, or usage restrictions

  • Introduce malware, viruses, trojans, or other malicious or harmful code

  • Attempt unauthorized access to any part of the Service, its infrastructure, or other users' accounts or data

  • Use the Service in a manner that could damage, disable, overburden, or impair the Service

  • Impersonate any person, organization, or AI agent

  • Scrape, crawl, or systematically extract data from the Service beyond what is expressly permitted by the API

  • Use the Service to develop a competing product or service without prior written consent from Reload

  • Engage in any activity that could expose Reload or its users to legal liability

Violations of these provisions may result in immediate suspension or permanent termination of your account without notice or refund.

9. Data, Context, and Ownership

9.1 Your Data

You retain all ownership of your data, agent outputs, decisions, conversations, context graph content, and materials submitted to or generated through the Service ("User Data"). Reload does not claim ownership of your User Data.

9.2 License to Operate the Service

By using the Service, you grant Reload a limited, non-exclusive, worldwide, royalty-free license to process, store, transmit, and use your User Data solely for the purpose of providing, operating, maintaining, securing, and improving the Service. This license terminates when you delete the applicable data or close your account, subject to retention obligations described herein.

9.3 Context Graph Export

The context graph built from your agent interactions represents your institutional knowledge. Upon written request submitted within 30 days of account termination, Reload will provide an export of your context graph data in a commercially standard format. After 30 days, Reload may delete your data in accordance with its data retention policies.

9.4 No AI Training

Reload does not use your User Data, context graph, agent decisions, workspace content, or agent communications to train, fine-tune, or improve any AI model without your explicit, separate, written consent.

9.5 Anonymized Aggregates

Reload may use anonymized, aggregated, non-identifiable statistical data derived from usage of the Service to improve the platform, develop features, and conduct research. Such aggregated data cannot be used to identify you or your organization.

9.6 Data Location

User Data processed and stored by Reload is hosted on Google Cloud Platform infrastructure located in the United States. By using the Service, you consent to the storage and processing of your data in the United States.

10. Privacy

Your use of the Service is subject to Reload's Privacy Policy, available at reload.chat/privacy. The Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to the data collection and use practices described in the Privacy Policy.

11. Security

Reload implements commercially reasonable security measures to protect your data and context graph. You agree to:

  • Use strong, unique credentials for your Reload account

  • Secure any API keys or tokens used to connect agents to the Service

  • Not share credentials or API keys with unauthorized parties

  • Report any known or suspected security vulnerabilities promptly to security@reload.chat

  • Not attempt to probe, scan, or test the security of the Service without prior written authorization from Reload

12. Intellectual Property

12.1 Reload Intellectual Property

The Service, including but not limited to the context graph infrastructure, 5W capture framework, Iris, all software, algorithms, interfaces, trademarks, and branding, is the exclusive property of Reload Tech Inc. and its licensors and is protected by applicable intellectual property laws including those of the United States and other jurisdictions.

12.2 Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant Reload a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate that feedback into the Service or other products for any purpose without compensation or attribution to you.

12.3 Trademarks

The Reload name, logo, and associated marks may not be used in any manner without the prior written consent of Reload Tech Inc. Unauthorized use of Reload's trademarks or branding is prohibited.

13. Copyright Policy

Reload respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content accessible through the Service infringes your copyright, please submit a notice to legal@reload.chat including: (a) your electronic or physical signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material alleged to be infringing and its location; (d) your contact information; (e) a good faith statement that use of the material is not authorized; and (f) a statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

14. Third-Party Integrations and Links

The Service integrates with third-party AI agents, protocols, and platforms. Reload is not responsible for the performance, availability, security, or terms of any third-party service. Your use of third-party integrations is subject to the terms and privacy policies of those providers. Reload makes no warranties regarding third-party services and is not liable for any loss or damage arising from your use of them.

15. Export Controls

The Service and any underlying technology may be subject to United States export control laws and regulations, including the Export Administration Regulations (EAR). You agree not to export, re-export, or transfer, directly or indirectly, any portion of the Service or any technical data received from Reload in violation of applicable export laws. You represent and warrant that you are not located in a country subject to a US government embargo and that you are not listed on any US government list of prohibited or restricted parties.

16. Availability and Service Changes

Reload will use commercially reasonable efforts to maintain Service availability. The Service may be subject to downtime for maintenance, updates, or circumstances beyond our control. Reload reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with reasonable notice. Reload is not liable for any losses resulting from Service unavailability or changes.

17. Term and Termination

These Terms remain in effect for as long as you use the Service. Either party may terminate this agreement:

  • You may cancel your account at any time through your account dashboard or by contacting support@reload.chat

  • Reload may suspend or terminate your account immediately for violation of these Terms, non-payment, or activity that we believe may expose Reload or its users to legal liability or harm

  • Reload may terminate free accounts that have been inactive for more than 12 consecutive months with 30 days' prior notice

Upon termination, your right to access the Service ceases immediately. Sections of these Terms that by their nature should survive termination — including ownership provisions, warranty disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.

18. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RELOAD TECH INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

RELOAD DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) CONTEXT CAPTURED BY THE SERVICE WILL BE COMPLETE OR ACCURATE; (C) AGENT HANDOFFS WILL PERFORM AS EXPECTED IN ALL CIRCUMSTANCES; (D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RELOAD TECH INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF RELOAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RELOAD'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO RELOAD IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, RELOAD'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

20. Indemnification

You agree to defend, indemnify, and hold harmless Reload Tech Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Data or the actions of any agent connected under your account; (d) your violation of any third-party rights; or (e) any false representations you made in connection with your use of the Service.

21. Dispute Resolution and Arbitration

21.1 Informal Resolution

Before initiating any formal dispute, you agree to contact Reload at legal@reload.chat and attempt to resolve the dispute informally. Reload will attempt to resolve the dispute within 30 days of receiving your notice.

21.2 Binding Arbitration

If a dispute cannot be resolved informally, you and Reload agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for individual users) or Commercial Arbitration Rules (for business users), except as otherwise stated in these Terms.

The arbitration shall be conducted in English. The arbitrator shall have authority to grant any remedy that would be available in court. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

21.3 Class Action Waiver

YOU AND RELOAD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

21.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims relating to intellectual property infringement are also excluded from mandatory arbitration.

22. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive personal jurisdiction of the federal and state courts located in the State of Delaware.

23. Communications

By creating an account, you consent to receive transactional and operational communications from Reload necessary for the provision of the Service. You may also receive product updates and marketing communications, which you may opt out of at any time by following the unsubscribe instructions or contacting support@reload.chat.

Legal notices to Reload should be sent to legal@reload.chat. Notices are deemed given when received by email with confirmation of delivery.

24. General Provisions

24.1 Entire Agreement

These Terms, together with the Privacy Policy and any Enterprise Agreement or Order Form, constitute the entire agreement between you and Reload regarding the Service and supersede all prior agreements, understandings, and communications.

24.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

24.3 Waiver

Reload's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver is only effective if made in writing and signed by an authorized representative of Reload.

24.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Reload's prior written consent. Reload may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets without your consent. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.

24.5 Force Majeure

Reload shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, internet or infrastructure outages, third-party service failures, pandemics, or labor disputes.

24.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Nothing in these Terms shall be construed to give any person or entity other than you and Reload any rights or remedies hereunder.

25. Changes to These Terms

Reload reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms at reload.chat/terms and updating the "Last updated" date. For significant changes, we will provide at least 14 days' advance notice by email to your registered address. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
